Conditions of Use

Gruppz is a dating and social connection application operated by Grupo Dremit SAPI de CV, a company incorporated under the laws of the United Mexican States and owner of Gruppz Inc, with registered address at Av. Tecnológico No. 118 Interior 102, Colonia San Ángel, C.P. 76030, Querétaro, Querétaro, Mexico.

In these Terms and Conditions, the terms "Gruppz", "we", "the Company" and "our" refer to Grupo Dremit SAPI de CV. The term "you" or "user" refers to any person who accesses or uses our application.

By downloading, accessing or using Gruppz, you agree to be bound by these Terms and Conditions (the "Agreement"), our Privacy Policy and our Community Rules, which form an integral part of this Agreement.

To use Gruppz you must meet the following requirements:

• Be at least 18 years of age, or the minimum age to enter into valid contracts in your country of residence if that age is higher.
• Not be suspended or have been permanently removed from Gruppz for prior violation of these Terms.
• Not have been convicted of any sexual offense, nor be registered as a sex offender in any public registry.
• Have legal capacity to enter into binding contracts under applicable law.

4.1 Registration

To access Gruppz's features, you must create an account by providing truthful, accurate, current and complete information. You agree to keep that information up to date at all times.

4.2 Account security

You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur on your account. You must notify us immediately at hello@gruppz.com of any unauthorized use of your account.

4.3 One account per person

Each person may register and maintain only one active account on Gruppz. Creating duplicate, fake or third-party accounts is prohibited.

4.4 Non-transferability

Your account is personal and non-transferable. You may not assign, sell or transfer your account or any of the rights derived from it to any other person.

Gruppz is a social connection platform that works through a group system. Unlike other dating applications, in Gruppz:

6.1 Ownership of your content

You retain ownership of all content you post on Gruppz, including photos, texts, profile descriptions, groups you create and messages you send ("Your Content").

6.2 License you grant us

By posting Content on Gruppz, you grant us a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to use, store, display, reproduce and distribute Your Content solely for the purpose of operating, improving and developing the platform.

This license ends when you delete Your Content from Gruppz or close your account, unless such content has been shared with other users who have not deleted it.

6.3 Responsibility for your content

You are solely responsible for the content you post. You warrant that you have all necessary rights to post such content and that it does not infringe the rights of third parties or these Terms.

It is strictly prohibited to post, share or transmit on Gruppz any content that:

• Is false, misleading, fraudulent or impersonates another person.
• Contains sexually explicit or pornographic material.
• Promotes hatred, discrimination, racism, xenophobia or violence against any person or group.
• Harasses, intimidates, threatens or abuses other users.
• Includes images, videos or data of minors for inappropriate purposes.
• Promotes illegal activities, including human trafficking, fraud or the distribution of illicit substances.
• Contains viruses, malware or other harmful software.
• Infringes copyrights, trademarks or other intellectual property rights of third parties.
• Is spam, unsolicited advertising or mass commercial communications.
• Attempts to obtain personal or financial data from other users in a deceptive manner.

Gruppz cares about the safety of its users. However, we are not responsible for the conduct of users on or off the platform.

8.1 Your conduct commitments

• Treat all users with respect and dignity.
• Not use the platform to harass, stalk or pursue other users.
• Not attempt to access other users' accounts or Gruppz's computer systems without authorization.
• Not use bots, automated scripts or any non-human means to interact with the platform.
• Report any suspicious or abusive behavior through the channels provided in the app.

8.2 In-person meetings

If you decide to meet in person someone you contacted through Gruppz, we recommend taking basic safety precautions: choose public and busy places, inform a friend or family member of your plans, and trust your instincts. Gruppz does not conduct background checks on its users.

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of this Agreement. By using Gruppz, you expressly accept the data processing practices described in that Policy.

You can review our Privacy Policy in the application or request it at hello@gruppz.com.

All elements of Gruppz — including the name, logo, design, source code, interface, features, texts and proprietary content — are the exclusive property of Grupo Dremit SAPI de CV or its licensors, and are protected by applicable intellectual property laws.

It is expressly prohibited to copy, reproduce, modify, distribute, sell, sublicense or create derivative works from any element of Gruppz without the prior written authorization of the Company.

Gruppz provides its platform "as is" and "as available", without warranties of any kind, express or implied. In particular:

• We do not guarantee that the service will be uninterrupted, error-free or completely secure.
• We are not responsible for the actions, behavior, identity, intentions or accuracy of information of users.
• We do not conduct criminal background checks or other controls on users.
• We do not guarantee specific results from use of the application, such as arranging meetings or establishing relationships.
• We are not responsible for damages resulting from interactions between users on or off the platform.

To the maximum extent permitted by applicable law, Grupo Dremit SAPI de CV shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of data, loss of revenue, loss of business opportunities or reputational damage, arising from the use or inability to use Gruppz.

This limitation applies regardless of the legal theory on which the claim is based and even if the Company has been informed of the possibility of such damages.

You agree to defend, indemnify and hold harmless Grupo Dremit SAPI de CV, its officers, employees and collaborators, from and against any claim, damage, obligation, loss, liability, cost or expense arising from:

• Your use of Gruppz or access to the platform.
• Any breach of these Terms and Conditions by you.
• Infringement of third-party rights arising from Your Content or your conduct on the platform.
• Any legal action initiated by a governmental authority as a result of your use of the platform.

Gruppz reserves the right to modify, suspend or discontinue the platform in whole or in part at any time, with or without notice. This includes the ability to add, modify or remove features, including the group system.

We will not be liable to you or any third party for any modification, suspension or discontinuation of the service.

15.1 By Gruppz

We reserve the right to suspend or terminate your account, with or without notice, if:

• You breach any provision of these Terms or the Community Rules.
• Your conduct on or off the platform is harmful to other users or to Gruppz.
• You use the platform for illegal or fraudulent purposes.
• You do not meet the eligibility requirements set out in Section 3.

15.2 By the user

You may delete your account at any time from the settings section of the application. Deleting your account results in the loss of access to all your data, groups, connections and messages stored on the platform.

This Agreement is governed by and construed in accordance with the laws of the United Mexican States, without regard to conflict of law rules.

Any dispute arising from or related to this Agreement shall be submitted to the jurisdiction of the competent courts of the city of Querétaro, Querétaro, Mexico. The parties expressly waive any other jurisdiction that may apply to them.

We may update these Terms and Conditions at any time. When we make material changes, we will notify you through the application or by email at least 30 days before they take effect.

Continued use of Gruppz after the publication of changes constitutes your acceptance of the updated Terms. If you do not agree with the new Terms, you must stop using the application and delete your account.
